All contracts for services are formed with Outcome Reach Ltd. ApexLocal is the trading identity used for branding, client-facing communications, and service delivery.

Outcome Reach Ltd, trading as ApexLocal, provides website design, website rebuilds, local SEO foundations, conversion optimisation, booking and ordering integrations, hosting, maintenance, and ongoing website support services to UK local businesses.
All services are delivered in accordance with a written proposal or scope document agreed between Outcome Reach Ltd and the client before work begins. No work is commenced until a scope of work has been confirmed in writing and any required deposit has been received.
The specific deliverables, timeline, and cost for each project are set out in the individual proposal or agreement provided to the client. That proposal, together with these Terms and Conditions, forms the entire agreement between the parties.
Enquiries and Free Website Reviews
Submitting a contact form or requesting a free website review does not create a contract or obligation on either party. A website review is provided as a courtesy to help local businesses understand where their current online presence may be limiting their ability to attract new customers.
Outcome Reach Ltd reserves the right to decline any enquiry or review request at its discretion and without obligation to provide a reason.
Any advice or recommendations given during a free review or written assessment are provided in good faith based on the information available at the time. They do not constitute a guarantee of results or a commitment to proceed with any project.
Quotes and Proposals
Prices displayed on this website are indicative starting points only. Final pricing is confirmed in a written proposal issued by Outcome Reach Ltd and is determined by the scope of each individual project.
A written proposal is valid for 30 days from the date it is issued unless otherwise stated. After this period, pricing and availability may be subject to change.
Acceptance of a proposal, whether by email confirmation or payment of a deposit, constitutes the client’s agreement to proceed on the terms set out in that proposal alongside these Terms and Conditions. A binding contract with Outcome Reach Ltd is formed at this point.
Project Timelines
Estimated timelines are provided in good faith based on project scope and current workload at the time of proposal. They are not guaranteed delivery dates unless explicitly agreed as fixed deadlines in a signed written document.
Timelines are dependent on the client providing required materials, feedback, and approvals within agreed timeframes. Delays caused by late content delivery, unresponsiveness, or scope changes will extend the project timeline accordingly. Outcome Reach Ltd accepts no liability for losses arising from such delays.
We will communicate any anticipated delays on our side as early as reasonably possible. Outcome Reach Ltd is not liable for losses arising from delays caused by circumstances outside our reasonable control.
Client Responsibilities
To allow us to deliver work to the agreed standard and within the agreed timeline, clients are responsible for:
- Providing all required content, images, text, and materials by the dates agreed in the project schedule
- Providing access to any existing websites, domains, hosting accounts, email systems, or third-party platforms as required for the project
- Providing timely feedback and approvals at each agreed stage of the project
- Ensuring that any materials provided do not infringe third-party intellectual property rights
- Ensuring that any business claims, offers, or testimonials included in site copy comply with applicable advertising regulations, including CAP Code guidelines
- Nominating a single point of contact for the project to avoid conflicting instructions
If the project is delayed because the client has not met these responsibilities, Outcome Reach Ltd reserves the right to reschedule the work. In cases of extended delay, any remaining balance may become due regardless of project completion status.
Payments and Deposits
A deposit is required before work begins on any project. The deposit amount is specified in the proposal issued by Outcome Reach Ltd. Receipt of the deposit confirms the client’s acceptance of that proposal and these Terms and Conditions.
Deposits are non-refundable once work has commenced, due to the allocation of time and resources to the project. If a client cancels before work begins, a refund of the deposit may be considered at Outcome Reach Ltd’s discretion.
The remaining balance is due on completion of the project, prior to files being transferred, the website going live, or any handover taking place, unless a different payment schedule has been agreed in writing. Outcome Reach Ltd will not release, publish, or transfer any deliverable until final payment has been received in full.
Work may be paused or withheld at any stage if agreed payments are not received by the due date. Outcome Reach Ltd reserves the right to suspend services, withhold files, or pause active work where outstanding invoices remain unpaid.
For hosting, maintenance, or monthly service arrangements, payment is due in advance of each calendar month. If payment is not received within 14 days of the due date, services may be paused until the account is brought fully up to date.
Invoices unpaid after 30 days from the due date may be subject to statutory interest and compensation in line with the Late Payment of Commercial Debts (Interest) Act 1998.
Payments may be made via bank transfer, PayPal, or other payment methods agreed in writing between the client and Outcome Reach Ltd prior to the invoice being raised. Outcome Reach Ltd does not store or process payment card details directly.
Hosting and Ongoing Services
Where ApexLocal provides hosting, maintenance, updates, or ongoing support, these services are billed on a recurring monthly basis in advance unless otherwise agreed in writing.
If payment is not received within 7 days of the due date, Outcome Reach Ltd reserves the right to suspend access to the website, hosting, maintenance, updates, and all associated services until outstanding fees are settled in full.
If payment remains outstanding beyond 14 days, Outcome Reach Ltd reserves the right to take the website offline or remove it from hosting until the account is fully cleared.
A suspended website may be reinstated once all outstanding fees have been paid. Reinstatement is subject to server availability, backup availability, and the technical condition of the website at the time of reinstatement.
It is the client’s responsibility to ensure that payment details and authorised payment methods remain valid and up to date at all times.
Website Transfer and Cancellation
If a client wishes to cancel an ongoing hosting or maintenance arrangement, they must provide written notice to Outcome Reach Ltd. All outstanding fees must be settled in full before any website transfer, file handover, or account migration is completed.
Where a website has been fully paid for, we will provide reasonable assistance to transfer the website to the client’s chosen hosting provider upon request. Additional transfer or migration work required beyond standard handover may be charged separately at our then-current rate.
Outcome Reach Ltd is not responsible for any issues arising from third-party hosting providers, domain registrars, plugins, platform configurations, or technical environments after a website has been transferred away from ApexLocal-managed hosting.
Third-Party Platforms and Integrations
Many projects involve integrating third-party platforms such as Foodhub, Deliveroo, Just Eat, Fresha, Treatwell, Calendly, or WhatsApp Business. These are independent services governed by their own terms, pricing, and availability, and are entirely outside the control of Outcome Reach Ltd.
Outcome Reach Ltd is not responsible for changes made by third-party platforms that affect the functionality of an integration after the project has been delivered and accepted. This includes, but is not limited to, API changes, platform shutdowns, pricing changes, feature removals, or policy updates introduced by those platforms.
Where a third-party platform requires the client to hold their own account or subscription, this is the client’s responsibility to set up, pay for, and maintain independently.
Content, Images, and Client-Provided Materials
By providing content, images, logos, or other materials to Outcome Reach Ltd for use in a project, the client confirms that they own or hold the appropriate rights to use those materials, and that their inclusion on the completed website will not infringe any third-party copyright, intellectual property, or other legal rights.
Outcome Reach Ltd is not responsible for any legal issues arising from client-provided materials. The client agrees to indemnify Outcome Reach Ltd against any claims, costs, damages, or expenses resulting from the use of materials provided by the client.
Where stock images or licensed assets are required and not supplied by the client, we will source appropriate materials. Any associated costs will be agreed with the client before they are incurred.
SEO, Performance, and Results Disclaimer
ApexLocal implements local SEO foundations and conversion best practices as part of its services. These are designed to improve a website’s visibility and commercial effectiveness over time.
Outcome Reach Ltd does not guarantee specific rankings on Google or any other search engine, a specific volume of enquiries or orders, or any particular commercial outcome. Search engine algorithms change frequently and results vary according to competition, location, industry, and other factors entirely outside our control.
Any case studies, concept work, or examples shown on this website are illustrative. They represent the quality and type of work we deliver, and do not constitute a guarantee of specific outcomes for any individual client.
Intellectual Property
Upon receipt of final payment in full, the client is granted ownership of the completed website, including its custom design and code, as delivered by Outcome Reach Ltd. This transfer applies only to the custom work created specifically for that project.
Outcome Reach Ltd retains the right to display completed work in a portfolio, on this website, or in promotional materials, unless the client requests in writing that we do not.
Third-party assets used in a project, including licensed fonts, stock images, plugins, platform embed codes, and third-party scripts, are subject to their own licensing terms. Ownership of those assets remains with the respective rights holders and does not transfer to the client.
All content on the ApexLocal website, including copy, design, graphics, and the ApexLocal brand identity, remains the intellectual property of Outcome Reach Ltd and may not be reproduced, copied, or used without prior written permission.
Limitation of Liability
The liability of Outcome Reach Ltd to any client in connection with any project or service shall not exceed the total amount paid by that client for the specific project or service giving rise to the claim.
Outcome Reach Ltd is not liable for any indirect, consequential, or special loss, including loss of business, loss of revenue, loss of profit, loss of data, or loss caused by website downtime, whether arising from negligence, breach of contract, third-party failure, or otherwise.
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or restricted under the laws of England and Wales.
Outcome Reach Ltd is not responsible for any loss or damage arising from the client’s failure to maintain adequate backups of their existing website, data, domain, emails, or third-party account configurations before work begins.
